The “Men's Club” shall mean the group of male amateur golfers operating under a constitution acceptable to the Golfing Union of Ireland and to which such Club is affiliated.
The “Ladies' Club” shall mean the group of female amateur golfers operating under a constitution acceptable to the Irish Ladies Golfing Union and to which such Club is affiliated.
The “Joint Club” shall mean the Club formed through the amalgamation of the two groups of amateur golfers defined in clauses 1 and 2 above for the purpose of managing matters of common interest, (other than the game of golf and its related activities), of both the Men's Club and the Ladies' Club including the provision and maintenance of the facilities owned by or available for use by the members. The Joint Club holds the property and assets of the Club in trust on behalf of the full members. The Joint Club cannot become affiliated to either the Golfing Union of Ireland or the Ladies Golfing Union.
The name of the Club shall be “Moate Golf Club”. The objectives of the Club is the provision of facilities for the playing of amateur games of golf by men, women and juveniles and generally to promote amateur games amongst its members.
There shall be two Trustees, elected by ballot of a General Meeting of the Club in whom all property of the Club shall be vested. The Trustees shall remain in office until next ensuing Annual General Meeting, or resignation, unless removed by vote of a General Meeting of the Club. The Trustees jointly or severally shall not sell, mortgage or change any property of the Club vested in them, or borrow money on behalf of the Club except by resolution of the Committee.
The Joint Club shall be managed by a Management Committee consisting of a President, Two Trustees, Honorary Treasurer, Honorary Secretary, Men's Captain, Ladies Captain, Men's Honorary Secretary, Ladies Honorary Secretary, who shall be ex-officio members of the Management Committee and eight others. The Management Committee may form sub-Committees and appoint members to such Sub- Committees and may delegate to such Sub-Committees any of its powers and duties provided that any decision of any Sub-Committee may be set aside and altered by the Management Committee. The President, Trustees, Honorary Secretary, Honorary Treasurer, Men's Captain and Ladies Captain shall be ex-officio members of all Sub-Committees. The Committee in addition to the powers hereinafter confirmed on them, shall have control of the finances of the Club, shall be empowered to borrow such sums from time to time as they consider desirable, to engage, control and dismiss the Club's servants and shall have all such administrative powers as may be necessary for properly carrying out the business of the Club in accordance with these rules.
The Committee and Trustees shall be indemnified against liability out of the funds and property of the Club and any member or members guaranteeing or undertaking to discharge any liability for monies borrowed or debt or debts incurred for the purpose of the Club shall be indemnified out of the funds and property of the Club.
All members of the Management Committee shall retire annually and shall be eligible for re-election at the Annual General Meeting except as provided in
Rule 21. The President may be re-elected annually for a maximum of Two Years.
The Joint Club shall:-
Provide facilities for the playing of and promotion of the amateur game of golf by men and women and generally promote amateur games and other social activities amongst its members;
Manage matters of common interest of both the Men's Club and the Ladies Club which shall include:-
Provision of and responsibility for the maintenance and upkeep of the course and Clubhouse and their environs to the standard required by members;
Provide Bar and Catering facilities and all these entail;
Set and collect annual Club subscriptions, entrance fees and other Club levies payable by members. Any alteration in these rates shall be decided at an Annual General Meeting or Special General Meeting of the Joint Club;
Collect all competition entry fees from the Men's Club from which all Golfing Union of Ireland team and match expenses will be paid.
Set and collect all Green fees from Visitors, Societies and guests of Ordinary Members.
Generally to act in the promotion and advancement of the interests of the Club and the improvement of the facilities available to members.
9. (a) The Joint Committee shall cause that correct Accounts and Books shall be
kept showing the financial affairs, receipts and disbursements of the Club. All monies shall be lodged in a Bank to be decided upon by the Committee.
The Honorary Treasurer shall produce a financial statement for the period up to April 30 th in each year to be submitted to the Committee at its June meeting and a financial statement for the period up to July 31 st to be submitted at its September meeting.
All Cheques drawn on the Banking account of the Club shall be signed on behalf of the Club by the Honorary Secretary and the Honorary Treasurer for the time being.
The Accounts shall be closed and balanced on October 1 st each year and auditors
shall be appointed by the Committee to audit the accounts before the next General Meeting.
The Committee shall hold Meetings at such times as may be found necessary, and
the Chairperson shall have a casting vote. The quorum for Committee Meetings shall be six.
The first meeting of the Management Committee shall elect from its members one member who shall take the chair at all meetings of the Committee and all General Meetings, and in his / her absence the President shall chair meetings. In the absence of both, the meeting shall elect its own Chairperson.
Casual vacancies on the Committee shall be filled by the co-opting of ordinary
members of the Club by the Committee.
The Joint Management Committee of the Club shall have general control over the finances of the Men's Club. The Men's Club shall submit accounts to the Joint Management Committee annually or when required. All monies to be handed to the Honorary Treasurer of the Joint Management Committee.
16. The Joint Management Committee of the Club shall have general control over the finances of the Ladies' Club. The Ladies' Club shall submit accounts to the Joint Management Committee annually or when required.
17. The Joint Management Committee is empowered to make and altar ByeLaws either to meet temporary emergencies, or as they consider necessary in the interests of the Club.
18. The Joint Management Committee and the Trustees and any individual member thereof shall be indemnified against liability out of the funds and property of the Club provided the sanction of the Committee had been obtained for such liability.
The Joint Management Committee is empowered to withdraw the use of the Clubhouse and course from any member or Visitor who willfully infringes any of the Rules or ByeLaws of the Club. Any Member willfully contravening the Rules and Regulations of the Club , or acting in such a manner in or out of the Club, as in the opinion of the Committee might bring discredit on the Club, shall be called upon to give a personal explanation. The Committee shall then determine whether such person is to be permitted to remain a Member of the Club and should the Committee at a special convened meeting decide by a clear majority of at least two thirds of those present the Member shall be called upon to resign within a specified time. If such resignation is not received within the appointed time, the Member shall incur automatic expulsion, and the Secretary shall remove the name from the list of Members. Any lesser punishment may be imposed as the Committee may think fit.
All Complaints shall be made in writing to the Hon. Secretary who if unable to remove the cause shall submit them to the Committee for their consideration.
All Officers and Members of the Joint Management Committee, including the President and the Trustees to be elected at the Annual General Meeting, must be nominated by two ordinary Members of the Club and such nominations must be made to the Honorary Secretary in writing at least 10 days before the date of the General Meeting. Only those nominated before hand can be voted for at the General Meeting. No outgoing Member who without reasonable cause had failed to attend at least half of the stated Committee meetings shall be eligible for
re-election.
22 In the absence of any nominations the outgoing Joint Management Committee shall be re-elected. If there is an insufficient number of nominations, such nominees, with the outgoing Members of the Joint Management Committee shall constitute a panel of candidates for the election.
Each candidate for election as and from the 27 th August 2001 shall be proposed by one Member of the Club, and seconded by another. The candidates name, address and designation, with the names of his / her Proposer and Seconder, shall be entered in a book for the purpose called the “Candidates Book”, and shall also be posted on the Notice Board in the Pavilion for at least seven days previous to ballot and the name shall be stated on the Circular calling the meeting at which the candidate is to be elected. This rule shall not apply to Temporary Members. Election of New Members to be decided by simple majority of the Committee.
As and from 27 th August 2001 current Lady Associate Members may retain their Lady Associate Membership or join as Full Ordinary Members by paying the difference between the current Lady Associate Membership and the current Full Ordinary membership.
The Annual General Meeting of the Join Club may elect to Family Membership a Husband , Wife and Children in full-time education at a preferred rate.
The Joint Management Committee may at any time, limit the number of Members of the Club or refuse to take Applications for membership for such time as they think fit.
When a person has been elected a member, the Honorary Secretary shall notify such person by letter of the fact, furnishing at the same time a printed copy of the Rules, only applications accompanied by an entrance fee and subscription will be considered for election.
No person shall be considered a Member until the Entrance fee (if any) and the First Annual Subscription have been paid, on paying which, he or she submits to the Rules and Regulations of the Club.
28. The Annual Subscription shall be decided upon at the Annual General Meeting of the Club.
29. All Subscriptions and Locker Rents must be paid in one sum and become due on the 1 st January each year, which must be paid by the 28 th February in each year, after which date all Members whose subscriptions are unpaid forego the right to avail of the Club or Club Premises, or to take part in competitions.
The Committee shall be entitled to elect a limited number of Pavilion Members at an Annual Subscription to be decided upon at the Annual General Meeting. Such Members shall be entitled to use the Clubhouse in the same way as an ordinary Member with the right to play on the Putting Green, but not to play on the Golf Course.
Any Member intending to withdraw from the Club shall give Notice in writing to the Honorary Secretary of the Club on or before the first of March (the date on which his or her subscription falls due) otherwise his or her subscription for the ensuing year must be paid whether the Club is used or not.
The Committee shall have power to elect as Juvenile/Junior Members with privileges of Membership, as hereinafter stated. Such Members shall continue to be Juvenile/Junior Members until 28 th February next after he/she has attained the age of eighteen years. The Committee shall have power to elect as Student Members any person over the age of eighteen years of age who is still in full-time education. Such Members shall continue to be Student Members until 28 th February next after he/she has completed full-time education. Juvenile Members viz. Members under 12 years of age must always be accompanied by an Ordinary Member when playing on the course. An ordinary Member must accompany Junior Members viz., Members between 12 and 18 years of age when playing on the course after 6pm.
33. The House Committee shall ensure that the Club conforms to and complies with the Provisions on any existing and future legislation in relation to the sale or provision on Intoxicating Liquor on the premises.
The Joint Management Committee shall appoint a Committee of not less than three Members to be called the “House Committee”, whose duty it shall be to attend to the management of the Clubhouse.
No notice, placard or paper, written or printed, shall be put up in the Clubhouse without the sanction of the Joint Management Committee.
Dogs shall not be allowed in the Clubhouse, except guide dogs. No Member shall take away or permit to be taken away, any article which is the property of the Club. Any loss or damage to Club property must be made good by the person who causes it.
All Members and Visitors must pay every expense they incur in the Clubhouse before leaving it.
No Member may compete for a prize in any competition unless his or her subscription for the current year has been paid.
No dogs shall be brought on the course at any time.
The charge for lockers shall be decided by the Joint Management Committee payable in advance at the same time as the Annual Subscription, and the right to vacant lockers shall be determined by priority of the Application in writing to the Honorary Treasurer.

Matters for discussion under item 10 must be given in writing to the
Hon. Secretary at least 10 days before the meeting and must be signed by the proposer and seconder.
When electing Members of the Committee other than the President, Trustees, Hon. Treasurer and Hon. Secretary, who are to be nominated and elected separately, all members voting shall vote for the full number for which there are vacancies. Voting papers containing a lesser number of votes than there are vacancies shall be invalid.
No proxies shall be allowed, and if a majority of the Members present wish any question under discussion to be put to a vote by ballot that mode of voting shall be adopted.
Only Full Ordinary Members shall be eligible for election to the Joint Management Committee and entitled to vote at the Annual General Meeting of the Joint Management Committee.
At Annual General Meetings 25 shall form a quorum.
The Rules of the Joint Club shall not be changed or amended save by two-thirds majority of the Members present at a General Meeting of the Joint Club.
Special General Meetings may be called at the request of the Joint Management Committee, or a requisition to the Hon. Secretary signed by at least ten ordinary Members of the Club. At least 10 days notice of such Meetings must be given to every ordinary Member of the Club.
The requisition must set out the purpose for which the Meeting is to be summonsed, and this purpose must be stated on the notice convening the Meeting.
The Joint Management Committee by the unanimous vote of the Members present, may elect any person they think fit, to be an Honorary Member of the Club Provided one calendar month has elapsed between the proposal and the vote to confer Honorary Membership. The Privilege of being an Honorary Member may be withdrawn at any time by a majority vote of the Committee. The President, Captain and Lady Captain shall be ex-officio Honorary Members.
The outgoing Chairman of the Management Committee will be an ex-officio member of the incoming Committee.
The Men's Club Vice Captain, Ladies Club Vice Captain and President Elect will become members of the Management Committee.
